THE
CONSTITUTION (08 AUG 03),
WORLDWIDE ARMY RANGERS, Inc. (WAR)
ARTICLE I - NAME
This Association shall be known as WORLDWIDE ARMY RANGERS,
Inc.
ARTICLE II - PURPOSES
1. To foster, worldwide, camaraderie among all Army
warriors who have earned the title "RANGER" [Henceforth,
Ranger(s) shall include LRPs, LRRPs, and LRSUs].
2. To preserve the heritage and spirit of all Army
Rangers by strengthening, worldwide, the relationship among
all past, present, and future Army Rangers.
3. To provide an extended community for all Army
Rangers and all Army Ranger families.
4. To commemorate the memory of all Army Rangers who
gave and who will give their lives in defense of freedom.
5. To enhance and to assist in the preservation,
protection, history, documents, artifacts, memorabilia,
recollections, accounts, characterizations, research,
incidents, and origins of the Army Ranger.
6. To encourage the maintenance of the high standards
of excellence in: Leadership, Esprit de Corps, Professional
Competence, and in the Care of Equipment (as affirmed to in
"The Ranger Creed") for all Army Rangers who serve nations
that insure self-determination and the freedom of
individuals to pursue life, liberty, and happiness.
7. To engage in any lawful business or activities
related thereto; and to engage in any lawful act or activity
for which corporations may be organized under the Georgia
Non-profit Corporation Code and under the IRS Code
501(c)(19).
ARTICLE III - MEMBERSHIP
Section 1. Membership in this Association (Assoc.) shall be
open to all (except the dishonest, brigands, and such) who
have earned the title Ranger of an Army and who meet the
qualifications for Ranger and Associate Membership as
provided in the Bylaws, WAR. Rangers who fought fifty years
ago may be offered special individual memberships.
Section 2. Membership in this Association shall be
established as follows:
A. Ranger Members: which shall include Annual and
Life Members.
B. Associate Members: which shall include Annual,
Life, Spouse/Widow, Heir & Honorary Members.
C. Dues shall be as provided by the Bylaws, WAR.
ARTICLE IV - GOVERNMENT
Section 1. The Association shall be governed by the Bylaws
of this Association (WAR). In the absence of guidance in the
Bylaws for a specific instance, the rules contained in
"ROBERT'S RULES OF ORDER, REVISED", shall govern this
Association in all cases to which they are applicable and in
which they are not inconsistent with the WAR Bylaws, the
laws of the State of Georgia, or the IRS Code 501(c)(19).
Section 2. Organization. The Association shall have an
organization composed of *Members, *Sub-elements if and as
desired to Patrols (Ptls) (or a title of choice), *Patrols
(or a title of choice), the *Executive Council (EC), and the
*National Office (Nat'l O).
A. Ranger Members, as individuals, by majority vote
during a duly constituted meeting or vote, impose
controlling power and final authority in all matters, acts,
activities, and business of this Association (WAR).
B. Sub-elements of a Patrol (or a title of choice)
are not required. When established, they may be of any size,
any organization, may choose a distinct uniform, and in all
cases they must be a part of a Patrol (or a title of choice)
and function under that Headquarters.
C. Patrols (Ptls) (or a title of choice) shall be
either Combat or Recon (or a title of choice). Regardless of
title, all will function either as and have all rights and
privileges as a Combat or as a Recon Patrol. Existing Ranger
Associations, regardless of size or title of choice, that
join or form an alliance with WAR may function as and shall
be given all rights and privileges as are prescribed herein
for Combat (Cmbt) Patrols and are authorized three voting
members in the Nat'l O. All other Cmbt Ptls shall have, as
Ranger members, at least ten per cent (10%) of the Ranger
Members in WAR and shall vote to have the Patrol Leader to
also serve with one vote in the WAR Nat'l O. Recon Ptls are
those that have not chosen to have the Patrol Leader (PL)
also serve in the WAR Hqs, regardless of number of members.
All Ptls may have elements and sub-elements as the Ptl
organizes to take maximum advantage of its potential. Recon
Ptls shall consist of at least two Ranger Members. The
maximum number in a Ptl is limited only by logic and reason.
The final approval authority for the organization of Ptls
other than existing Ranger Associations is the majority vote
during a duly constituted meeting/vote of the voting Ranger
Members.
D. The National Office (Nat'l O) consists of:
(1) Executive Council (EC) = President/Chief
Executive Officer (CEO), Vice President (VP), and
Secretary/Treasurer (S/T). They shall be representative of
the Members of WAR in their entirety with one vote each in
the EC. Only Ranger members who have served in a US Army
Ranger unit, or US graduates of the USAIS Ranger Crse may
serve as elected officers in the EC. Other officers may be
appointed as desired and shall have no vote in the EC.
(2) Governors (Gvnrs) = The Command-Sergeant-Major (CSM)
of each US Army Ranger Battalion and each higher US Army
Ranger Hqs and one representative, Ranger Memorial.
Governors have the power of recommendation only.
(3) Ex officio Officers (EO) = The three delegates
from existing Ranger Associations who are Combat Patrols (or
a title of choice) in WAR. The Patrol Leaders of Patrols
consisting of at least ten per cent (10 %) of the Ranger
members in good standing of the WAR AND who were chosen by
vote of their Patrols to so serve. Each Ex officio officer
has one vote in the National Office/BOD.
(4) Appointed Officers (AO) = As prescribed in the
Bylaws, WAR. AOs usually have no vote. E. Each one and each
element listed above shall be governed by the Constitution
and Bylaws (C&Bl), WAR.
Section 3. No part of the net earnings shall inure to the
benefit of, or be distributable to, or distributed to, or
dispersed to any member, trustee, officer, or other private
persons of WAR.
ARTICLE V - OFFICERS
Section 1. National Office (Nat"l O).
A. Executive Council (EC). The EC shall be the
Pres/CEO, VP, S/T, and appointed officers.
B. Governors (Gvnrs) shall be the CSM of each US Army
Ranger Cmnd of Bn & higher Hqs and one representative from
the Ranger Memorial Foundation.
C. Ex officio Officers (EO). EOs shall be the three
delegates from each existing Ranger Association who, as an
Association, has joined WAR and Patrol Leaders of Combat
Patrols consisting of at least ten per cent (10%) of the
Ranger members in good standing of WAR and who have voted to
have the Patrol Leader serve as a Director.
D. Appointed officers (AO) shall be as prescribed in
the Bylaws, WAR.
NOTE: The last three, two, and single Ranger(s)
standing of an existing Ranger Association/-Combat Patrol
(or title of choice) may be voting officers in the National
Office of WAR.
Section 2. Patrols (Ptls) (or a title of choice).
A. Elected officers shall be Patrol Leader (PL),
Assistant Patrol Leader (APL) (or titles of choice) and
others as the Patrol (or title of choice) may desire.
B. Appointed officers shall be chosen by the Patrol
Leader (or title of choice) and approved by the Ranger
members of that Patrol (or title of choice).
Section 3. Sub-element(s) of a Patrol (Sub-Es). Elected and
appointed officers shall be as chosen by the element.
Section 4. Members (Mbrs).
A. Ranger and Associate Members shall be a member of
a Patrol (or a title of choice), and includes any
Sub-Element.
B. Ranger members have one vote in duly called and
convened meetings of WAR.
C. Associate members have no vote in the election of
Patrol or National Office officers nor in Association-wide
matters. When appointed to an element, they may or may not
have a vote per the Bylaws, in the element to which
appointed.
Section 5. Terms of office for all officers shall be as
prescribed by the Bylaws, WAR
ARTICLE VI - MEETINGS
Section 1. Meetings shall be per the Bylaws, WAR, for the
Annual (A WAR) and all Special Meetings (Spec WAR).
Section 2. The major purposes of all meetings shall be:
Camaraderie, fun, and fraternal aspects and the promotion
and maintenance thereof and to conduct the official business
of the element calling the meeting.
ARTICLE VII - ELECTIONS
Elections to the EC shall be conducted so that the officers
have three-year terms on an alternating basis. Such
elections shall be held by Postal Mail Vote, secret ballot,
just prior to the A WAR. Any officer may succeed himself as
often as he wins the majority of the votes cast for that
office. Patrol elections are held when and as called for by
the members of that Patrol.
ARTICLE VIII - AMENDMENTS
The Ranger members of this Association may make, amend, and
repeal the Constitution and Bylaws (C&Bl) of this
Association by:
1. A US Postal Mail vote sent to all active Ranger
members, with proper notice, proper time duration, and fair
discussion of issues, by a majority of those voting; OR
2. By a majority vote of the members present at the A
WAR or any Spec WAR properly called and convened after
proper notice of the purpose is given thereof.
ARTICLE IX - DISSOLUTION
Upon dissolution of this Association (WAR), its assets shall
be distributed to one or more organizations included in
501(c)(3) and 501(c)(19), IRS Code, or the corresponding
section of any future IRS Code, or they may be distributed
to the federal government for veterans' assistance. Any such
assets not so disposed of shall be disposed of by the
appropriate Court of the county in which the principal
office of WAR is then located, exclusively to such exempt
veterans' organization(s) or to the state government for
veterans' assistance, as the Court shall determine. |
